1. Acceptance of Terms

By accessing and using HAYDEVS services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

HAYDEVS provides software development, game development, mobile app development, web development, and related technology services. We reserve the right to modify, suspend, or discontinue any part of our services at any time.

3. User Responsibilities

You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account
• Use our services only for lawful purposes
• Not interfere with or disrupt our services
• Not attempt to gain unauthorized access to our systems
• Comply with all applicable laws and regulations

4. Intellectual Property

All content, trademarks, and intellectual property on our website and in our services are owned by HAYDEVS or our licensors. You may not use, reproduce, or distribute any content without our written permission.

5. Project Work and Deliverables

For custom development projects:

• Work will be performed according to agreed specifications
• Client retains ownership of their intellectual property
• HAYDEVS retains rights to general methodologies and tools
• Deliverables will be provided upon completion and payment
• Revisions are included as specified in the project agreement

6. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Invoices are due within 30 days of receipt
• Late payments may incur additional charges
• Work may be suspended for overdue payments
• All prices are exclusive of applicable taxes

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our business relationship. This includes technical specifications, business plans, and other sensitive information.

8. Limitation of Liability

To the maximum extent permitted by law, HAYDEVS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

9. Warranty and Support

We provide warranties and support as specified in individual project agreements. Our standard warranty covers defects in workmanship for 90 days after project completion.

10. Termination

Either party may terminate this agreement with written notice. Upon termination:

• All outstanding payments become immediately due
• Confidentiality obligations continue
• Each party returns the other's proprietary materials
• Work in progress will be completed as agreed

11. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, or government actions.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes via email or through our website. Continued use of our services after such changes constitutes acceptance of the new terms.
